1. Contest Description:

The huupe $1 Million Prize Challenge (“Contest”) is sponsored and administered by Huupe Inc. (“Huupe” or the “Sponsor”). The Contest is a skill-based basketball performance challenge to be held at a designated basketball court venue located in the New York City metropolitan area on or about spring or summer 2027 (the “Contest Period”). During the specified days and times of the Contest, up to four hundred and eighty (480) individuals in Huupe Division 1 (as defined below) and up to twenty (20) individuals in Huupe Division 2 (as defined below) (the “Cap”) will have the opportunity to participate in the Contest. It is the responsibility of the prospective participants to arrange their own travel to and from the Contest location. Prospective participants who meet the eligibility criteria (defined below), complete the registration information (listed below in Section 5), and attend the Contest in person (the “Eligible Participants”), will have an opportunity to make a total of twenty-five (25) consecutive basketball hoop shots in sixty seconds (:60) from the three-point line at five (5) designated/marked zones on the court (collectively “Zone(s)”, which shall consist of five (5) left corner shots, five (5) left wing shots, five (5) top of the key/center shots, five (5) right corner shots, and five (5) right wing shots, as further specified herein. A completed three-point shot is deemed successful if: (a) an Eligible Participant releases the basketball while standing on the marker from behind each of the court's designated three-point Zones (“In Bounds”) and it enters/passes completely through the hoop from above; and (b) such Eligible Participant is fully In Bounds at the time the shot is released (each, a “Shot Made”). The Eligible Participant who achieves twenty-five (25) consecutive Shots Made will win a Grand Prize (as defined below) of up to One Million Dollars ($1,000,000) (subject to verification and actual amount subject to potential tie(s)). If no Eligible Participant achieves twenty-five (25) consecutive Shots Made, the Grand Prize will not be awarded. Eligible Participants who achieve the next three (3) highest Final Scores (as defined below) will receive the Second Place Prize (as defined below), Third Place Prize (as defined below), or Fourth Place Prize (as defined below), respectively, as more fully explained in Section 11 and subject to verification and potential ties. Each Eligible Participant is limited to five (5) consecutive basketball shots per Zone for a maximum of twenty-five (25) consecutive basketball shots (collectively “Round”) and a one (1) limit Round per Eligible Participant during the Contest Period (as defined below).

By participating in the Contest, each Eligible Participant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of the Sponsor or its designated representatives administering the Contest and the Sponsor designated officials (“Huupe Officials”) scoring and officiating each Eligible Participant’s final score of Shots Made which shall be final and binding in all respects.

2. Contest Dates and Event Location:

The actual event location of the Contest (the “Event Location”), including specific days and time periods, will be announced and posted prior to the actual days of the contest (each, an “Event Day”) and at the time the contest registration form will be available to the public. For all purposes of this Contest, the Sponsor’s computer is the official clock, and all times refer to eastern time (“ET”).

3. Eligibility:

The Contest is only open to U.S. citizens and lawful permanent residents who are: a) legal residents of one of the fifty (50) United States or the District of Columbia (excluding Guam, Puerto Rico, and all other U.S. territories and possessions) residing in (or visiting) the state of New York, New Jersey, Connecticut, or Pennsylvania (“New York Tri-State Area”) during the Contest Period; b) thirteen (13) years of age or older as of the date of registration; subject to the limitations and Cap of prospective participants for Huupe Division 1 and Huupe Division 2. Prospective participants must have either a valid Social Security number or a valid Individual Taxpayer Identification Number. Only individual persons can participate in this Contest and are eligible to win a prize. No entry by a group, organization, business, or political candidate is permitted. Employees of Huupe Inc. (“Sponsor”), River’s Edge Insurance Solutions, LLC, their advertising or promotion agencies, those involved in the production, development, implementation or handling of the Contest, and any agents acting for the above entities, and their respective parent companies, officers, directors, subsidiaries, affiliates (including, but not limited to, entities under common control or ownership), corporate sponsors, service providers, prize suppliers, assigns, administrator(s), officials, referees, score keepers, or any other person or entity associated with Contest (collectively “Contest Entities”) are not eligible to enter or participate in the Contest. Immediate family members (i.e. a spouse, domestic partner, child, sibling, or parent) and/or any person, whether related or not, living in the same household of an individual affiliated with a Contest Entity are also ineligible to enter or participate in the Contest.

4. Eligible Participant Experience Requirements:

For the purposes of this Contest and to qualify as an Eligible Participant, prospective participants who meet the eligibility requirements will be classified in one of the following Huupe divisions based on basketball experience, subject to the Cap:

a) The division that is open to the general public, excluding Professional Basketball Players (as defined below) who are current or former basketball players in high school (varsity), college/university, amateur league, and/or semi-pro league (“Huupe Division 1”); and

b) The division that is open to Professional Basketball Players (as defined below) (“Huupe Division 2”).

“Professional Basketball Player” means any individual who, at any time, has received or contracted to receive any compensation or consideration (whether monetary or in kind) for playing basketball or rendering services as a basketball player, or who has been a party to any contract with, or has been registered, rostered, or drafted by, any professional basketball team, club, or league operating within or outside the United States.

Final determination of whether an Eligible Participant is a Professional Basketball Player is subject to the Sponsor’s sole discretion. Notice of Sponsor’s determination will be provided to the applicable Eligible Participant’s as provided in Section 6 below.

5. How to Participate and Registration Requirements:

a) Pre-Registration: Prospective participants are invited to pre-register for the Contest by visiting Sponsor’s website located at https://huupe.com/ (“Website”), selecting the Contest icon or image that will open the Contest registration page and providing the following: first name, last name, complete home address (including street address, city, state and zip code), email address, daytime telephone number, month/year of birth, follow Huupe’s Instagram, upload a current/unexpired government issued photo identification (or a current/unexpired student identification if prospective participant is deemed a minor in their jurisdiction) (collectively “I.D.”), select Huupe Division 1 or Huupe Division 2 (as applicable), provide their current or former team or league name, and complete and sign the Contest Eligibility, Liability and Publicity Release (“Release”) document (“Registration Information”). Upon submission, prospective participant will receive one (1) entry into the Contest (“Entry”). If a prospective participant is a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian will be required to sign the Release on minor’s behalf. All legal responsibilities under these rules of any person deemed to be a minor are assumed by such minor’s parent/legal guardian. A minor is defined as a resident of Alabama or Nebraska who is under nineteen (19) years of age, a resident of Mississippi who is under twenty-one (21) years of age, or anyone who is under the age of eighteen (18) in the remaining forty-seven (47) states (“Minor”).

b) Walk-in Registration: Huupe Officials will accept same-day registration that will take place at a designated area at the Event Location on each Event Day (“Walk-In”). A Walk-In prospective participant must meet all eligibility requirements and will be required to complete all Registration Information (listed above) on-site prior to participation including but not limited to completing and signing the Release and providing his/her current/unexpired I.D. Once all Registration Information is completed in full, each Walk-In prospective participant will receive one (1) Entry, be provided a “stand by” number (in the order of arrival and Registration Information completion), and will be required to wait in a designated area to be called to start their Round (time permitting). Walk-In prospective participants can be slotted in to compete if the number of pre-registered prospective participants scheduled on any given Event Day is less than one hundred and twenty-five (125) individuals attend, which is the maximum number of prospective participants per Event Day, or if there is extra time within an Event Day’s schedule due to “no-shows”, faster than expected time between Rounds, or for any other reason. Submitting an Entry via a Walk-In (and waiting to be called) does not guarantee said Walk-In prospective participant will become an Eligible Participant and be able participate in a Round on that Event Day. Copies of the Official Rules will be available on-site on each Event Day.

Pre-Registration Information must be received by the designated time to be announced by the Sponsor and Registration Information from prospective Walk-In participants must be received thirty (30) minutes prior to the conclusion of that applicable day’s Event. Limit one (1) Entry per person during the Contest Period. Sponsor and Huupe Officials reserve the right to independently verify a prospective participant’s age, residency and/or basketball experience in their sole and absolute discretion. Once an email address has been used by a prospective participant to complete their Registration Information, that email address cannot be used by any other person for any Contest related activity. By submitting the Registration Information, each prospective participant confirms the accuracy and veracity of the statements and information contained therein. By signing the Release, prospective participant releases the Contest Entities from any and all liability and attests to the provisions stated therein including the accuracy of the information contained therein and compliance with these Official Rules. Registration Information must be complete and meet all eligibility requirements in order to be valid. Entries by the same person in excess of the limits stated herein will be disqualified. Each prospective participant and their Entry must comply with all Contest eligibility requirements as set forth in these Official Rules. Any attempt by a prospective participant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations, logins, AI generative technology, or any other methods other than as described herein, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void that prospective participant’s Entry(ies). The information a prospective participant provides will only be used for the reasons described in these Official Rules. Once submitted, Entries become the sole property of the Sponsor and will not be returned. Only the prospective participant registered under a particular email address on the Website may participate in the Contest; no other person may use or share the same email address at the Website; and he/she must be deemed the person who physically completed the act of entering. Proof of delivery or receipt of an Entry will not be deemed by Sponsor as proof of Entry. Any attempted form of Entry other than as described herein is void. If prospective participants use a web-enabled mobile device to register, data rates may apply (prospective participants should contact their service provider for data rates/plans). Prospective participants should use care and not drive or operate machinery while entering the Contest.

6. Notification of Eligible Participants and Event Scheduling:

All eligible pre-registered prospective participants that are selected as Eligible Participants will be notified by the Sponsor or Sponsor’s representative via email (at the email address provided on prospective participant’s Registration Information) at least one (1) week prior to the Contest Period and that email will contain an invitation to sign up to attend and compete on an Event Day, as well as Contest information, and a copy of the Official Rules. Each pre-registered prospective participant who plans to attend and compete will be required to reply to the notification email by: a) clicking on the scheduling link provided in the email that will open Sponsor’s Event confirmation page; b) selecting an available Event Day and time period (AM or PM); c) confirming availability and commitment to attend and participate as an Eligible Participant on the selected (available) Event Day; and d) agreeing to the Official Rules and Sponsor’s Terms of Use (“Eligible Participant Confirmation”). Prospective participants must complete Eligible Participant Confirmation at least three (3) days prior to the Contest Period. The number of prospective participants per Event Day who did not pre-register shall be capped at one hundred and twenty-five (125) individuals. If a pre-registered prospective participant selected as an Eligible Participant responds to the notification email after the maximum number of Eligible Participants for each Event Day has been filled, they will be invited to visit the Event Location on one of the Event Days, check-in with Sponsor’s administrators to access his/her Registration Information and participate as a Walk-In Eligible Participant if, and only if, there is a spot available. If a prospective participant’s notification is returned as undeliverable, they are deemed by Sponsor and/or Huupe Officials to be ineligible, cannot or does not comply with the Official Rules, fails to complete the Eligible Participant Confirmation process within the allotted time period or prior to the maximum number of Eligible Participants being reached for a particular Event Day, cannot attend on any of the available Event Days/time periods, does not check in during the scheduled time period for pre-registrants, or does not check in thirty (30) minutes prior to the conclusion of said Event Day for prospective Walk-In participants, such prospective participant will forfeit the opportunity to participate in the Contest.

7. Event Check-In Information, Eligible Participant Requirements and Spectator Conditions:

Eligible Participants must check in at the designated Event check-in area, present their I.D., and provide any other information Sponsor’s administrator(s) requires (“Check-In”). Thereafter, each Eligible Participant will be provided/assigned a number (in sequential order) upon Check-In completion. Pre-registered Eligible Participants will be called first to complete their Round and Walk-In Eligible Participants will be called if time allows in both the AM and PM time periods. Huupe Officials will provide a designated area for Eligible Participants to wait prior to their Round (“Eligible Participant Waiting Area”). Eligible Participants will be called upon one at a time to the basketball court to complete their Round, and must appear immediately ready to complete their Round once their name is called. Each Eligible Participant’s guest(s) (or other spectators) are not allowed in the Eligible Participant Waiting Area, but will be invited to be seated in the spectator area. If an Event Day is canceled, suspended, or postponed due to weather conditions, an act of God, an act of terrorism, civil disturbance, poor air quality, government orders, pandemic, security threat, transportation disruption, power failure, facility issues, or any other reason, the applicable Event Day may be re-scheduled through the best efforts of the Sponsor. Appropriate attire and sneakers are required for all Eligible Participants in order to participate. Sneakers will not be provided on-site. All Eligible Participants are required to use the basketball equipment provided by Sponsor (specified below). Eligible Participants (and spectators) must agree to comply with all applicable Event Location regulations in connection with their participation (or attendance) in the Contest and prior, during and/or after the basketball Round competition experience. See Website for details. Sponsor and Huupe Officials may remove any Eligible Participant (or spectator) who fails to comply with all Event Location and Contest requirements. Weapons, alcoholic beverages, illegal substances, drones, and/or laser pointers are strictly banned from the Event Location. In addition, Sponsor and Huupe Officials reserve the right to remove any spectator, or to deny participation to any Eligible Participant who engages in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person prior to, during, and/or after the Round competition experience. In addition, the Sponsor reserves the right in its sole discretion to disqualify individuals who violate these Official Rules, misrepresent themselves, or provide misleading or false information to the Sponsor and/or Huupe Officials. Sponsor and Huupe Officials are not responsible for any potential Eligible Participant failing to receive any notification about the Contest Period for any reason. If an Eligible Participant does not appear as agreed upon after Check-In, leaves the Event Location, and/or fails to appear when their name is called to complete their Round, the Sponsor and/or Huupe Officials have no further obligation to said Eligible Participant.

8. Event/Round Equipment:

The equipment used in the Contest is based on NBA standard sizes. All basketballs used in the Contest are provided by the Sponsor and will be the universal standard for adults that is a size seven (7) basketball, with a circumference of 29.5" inches, and a weight of 22 ounces (“Contest Ball”). No other basketballs are allowed to be used in the Contest and no additional sizes will be available based on any Eligible Participant’s size, age, or gender. The basketball hoop and net used in the Contest will be the Huupe Arena 72”, a premium regulation basketball hoop and smart system (“Contest Hoop”). Although the Contest Hoop contains smart tracking, shot charts, rim charts, shot angle trajectory, shot analytics, performance data, and a backboard LED perimeter light, the Huupe Officials will be the official Round timer(s) and score keeper(s) whose decisions are final and binding in all respects on behalf of the Sponsor. Any malfunction of the Contest Hoop smart features including but not limited to: green light/red light basket counter, timer, ranking, positioning will not have any effect on the official scoring/timing process that is conducted and solely handled by Huupe Officials, nor can the Contest Hoop features be used to dispute Huupe Officials’ determinations. In addition, malfunctions or circumstances such as the following will be handled solely by Huupe Officials who will determine whether the affected Round may be re-started (in their sole and absolute discretion): broken rim, bent rim, torn net, defective ball, lighting failure, and/or power outage. All Rounds will be video recorded by Huupe Officials. Sponsor and Huupe Officials may use video replay, frame-by-frame analysis, or any available recording technology to verify or overturn preliminary scoring determinations.

a) The Contest Hoop is ten (10) feet from the playing surface to the top of the rim.

b) The Contest Hoop rim has an inside diameter of eighteen (18) inches which is a circumference of approximately fifty-six point five (56.5) inches.

c) The distance from the Contest Hoop and each Zone demarcation is based on NBA standards. Each corner Zone is twenty-two (22) feet from the Contest Hoop and the top of the key Zone is twenty-three feet and nine inches (23’ 9”) from the Contest Hoop.

9. Round Requirements:

Each Eligible Participant will receive exactly five (5) Contest Balls at each of the five (5) Zones for a maximum of twenty-five (25) shot attempts within sixty seconds (:60) as deemed by the Huupe Officials’ timekeeper(s). Eligible Participants must shoot each Contest Ball one at a time, and Eligible Participants will be allowed only one (1) attempt per Contest Ball. If an Eligible Participant’s foot touches the painted three-point line when they elevate to shoot, any resulting basket for such shot is not considered a Shot Made. Once the Contest Ball is successfully released in the air, where the Eligible Participant lands or steps afterward does not affect the three-point designation and can be considered a Shot Made if the Contest Ball completely passes through the hoop (subject to verification). Eligible Participants will be allowed only one (1) attempt per basketball for a maximum of five (5) shots per Zone. Eligible Participants are expected to warm up on their own time outside of the facility where the Contest is held. No practice throws will be accommodated.

a) Huupe Official’s whistle or buzzer will be deemed as the official start of the Huupe Official’s timers for the maximum sixty second (:60) time per Round. An Eligible Participant’s first release of the Contest Ball is not considered the ‘start’ of the Round unless the whistle or buzzer has sounded.

b) Each Eligible Participant will start their Round on the basketball court at a specific corner designated by Huupe Officials, shoot a maximum of five (5) Contest Balls at each of the five (5) Zones moving sequentially along the arc (corner, wing, and top of the arc,), and finish at the opposite corner.

c) The sixty-second (:60) time requirement includes the time it takes for Eligible Participants to move sequentially from one Zone to another in addition to completing twenty-five (25) shots in total. Once five (5) shots are completed in each Zone (whether successful or not), the Eligible Participant should immediately and quickly move to the next Zone in the order stated above.

d) If a Contest Ball is deemed to be in a Eligible Participant’s hands (or touching any part of the hand or body) as the whistle or buzzer sounds, the shot would not count.

e) Eligible Participants must be standing In Bounds (behind the three-point line demarcation on the marker) for each throw in each Zone. Failure to stand In Bounds, will not result in a point regardless whether the Contest Ball went through the Contest Hoop.

f) Eligible Participants must not move away from any Zone to assist a Contest Ball into the basket, or interfere with the hoop or basket rim for any reason.

g) Whether or not a shot is missed or not deemed a Shot Made for any reason, Eligible Participants are still encouraged to fully complete their entire Round in the event that their final score (defined in Section 11) may qualify for a prize other than the Grand Prize.

h) Eligible Participants should not stop in the middle of their Round for any reason (unless Huupe Officials make a determination that requires a stoppage). Failure to complete a Round in its entirety will result in disqualification and the Eligible Participant forfeits any potential prize opportunity.

In the event that an Eligible Participant’s Round is interrupted by any interference (e.g. equipment failure, spectator walks on court, equipment bumped, and/or accident) Huupe Officials will re-start the Eligible Participant’s Round, including scoring and timing re-set, from the beginning. Under no circumstance shall any individual three-point shot be replayed.

10. Contest Ball/Shot Made Conditions/Rulings:

There may be circumstances whereby Huupe Officials will need to make a ruling(s) on one or more throws, Contest Ball issue(s), Round timer, Shot Made determination(s), or for any other reason in relation to an Eligible Participant’s Round. All such rulings and determinations will be made after the applicable Round is fully completed or after the Contest Period concludes (in Sponsor’s and Huupe Official’s sole and absolute discretion) for the purposes of preliminary scoring and may require review by video replay, frame-by-frame analysis, or any other recording technology. Eligible Participants should not stop or hold at any time during their Round for any rulings (unless Huupe Officials make a determination that requires a stoppage in their sole and absolute discretion).

a) A Contest Ball that spins around the top of the rim but then enters/passes completely through the hoop from above, it is considered a Shot Made.

b) If a Contest Ball spins around the top of the rim or is resting on the rim and is “helped” through the net by another Contest Ball resulting in a Contest Ball entering or passing completely through the hoop from above, it is considered a Shot Made

c) If a Contest Ball is resting within the hoop, but is caught by the net, it is considered a Shot Made.

d) Missed shots will not be replayed or replaced.

e) A Contest Ball that bounces back or is wedged between the rim and the backboard is considered a “dead ball” and will not be replayed or replaced.

f) If a Contest Ball collides with another Contest Ball or if any Contest Ball interferes with or alters the other’s trajectory or path, no point(s) will be awarded.

11. Final Scoring and Verification:

Each completed Round will be scored by a Huupe Official in accordance with the Huupe Officials’ determination(s) and in compliance with these Official Rules. Each Shot Made will earn an Eligible Participant one (1) point (“Score”). The maximum number of points per Round is twenty-five (25) points within sixty seconds (:60). Points are not earned for incomplete shots that are fumbled, dropped, missed, short, long, wedged on the Contest Hoop, not made from the three-point line marker, out of bounds, or shots thrown after the :60 Round time expires. After a Round is completed, there may be a reasonable investigation conducted by the Sponsor and Huupe Officials (at the sole discretion of the Sponsor and Huupe Officials) into a potential Shot Made, Eligible Participant’s Zone positioning, and In Bounds determinations which may include, but will not be limited to, obtaining and reviewing video footage, frame-by-frame analysis, or any available recording technology, in order to verify or overturn preliminary scoring determinations for any given completed Round. Decisions of the Sponsor/Huupe Officials with respect to the determination of an Eligible Participant’s Score, if any, are final and not subject to challenge. The review of any Shot Made or Round may occur on-site on the applicable Event Day or after the Contest Period has concluded (as determined by Sponsor and Huupe Officials in their sole and absolute discretion). Any leaderboard ranking on a given Event Day is not considered a final ranking or winning Score. Once the entire Contest Period has concluded, Huupe Officials will rank the Eligible Participants from highest to lowest Score, and then determine the winners based on the highest Scores (“Final Score(s)”) from among all Eligible Participants from all Event Days.

12. Prize(s): Up to four (4) tiers of prizes will be awarded in the Contest based on the highest Final Scores:

Grand Prize: The Eligible Participant whose Final Score is twenty-five (25) points will receive a One Million Dollar ($1,000,000) cash prize awarded in the form of a check in the winner’s name (“Grand Prize”). Notwithstanding the foregoing, in the event multiple Eligible Participants have a Final Score of twenty-five (25), the Grand Prize will be divided equally from among the Eligible Participants who achieved such Final Score. In the event of a tie, the Third Place Prize will be divided equally among the Eligible Participants who achieved the same exact Final Score. ARV of the Third Place Prize: up to $2,000.

Fourth Place Prize: The Eligible Participant whose Final Score is (i) the third highest score out of twenty-five (25), if no score of twenty-five (25) is achieved, or (ii) the fourth highest score out of twenty-five (25), if a score of twenty-five (25) is achieved, as applicable, will receive a one thousand dollar ($1,000) cash prize awarded in the form of a check in such Eligible Participant’s name (“Fourth Place Prize”). In the event of a tie, the Fourth Place Prize will be divided equally among the Eligible Participants who achieved the same exact Final Score. ARV of the Fourth Place Prize: up to $1,000.

A winner will be disqualified if: (a) he/she cannot be reached after a reasonable effort has been exerted within three (3) business days of the Sponsor’s Final Scoring and verification process or does not reply within the time frames listed above; (b) he/she is found to be ineligible; (c) he/she fails to return the Winner Documents within the required time period (as stated above); or (d) he/she does not otherwise comply with these Official Rules including if his/her notifications are returned as undeliverable. If a potential winner is disqualified for any of the aforementioned reasons, the applicable Prize may not be awarded, or in the event of a tie, the applicable Prize amount will be evenly divided from among the remaining verified tied Eligible Participants.
